1. Agreement to Terms
By accessing or using Readyant Studios, LLC services, you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not access our services.
2. Services Description
Readyant Studios provides professional media production services, including but not limited to:
- Video and film production services
- Broadcast media content creation
- Post-production services including editing, color grading, and finishing
- Digital content creation for social media and online platforms
- Creative direction and brand content development
- Multimedia production and consulting services
3. Client Obligations
Clients engaging our services agree to:
- Provide accurate and complete information necessary for project completion
- Respond to inquiries and requests in a timely manner
- Obtain all necessary permissions, licenses, and releases for materials provided to us
- Make timely payments as outlined in project agreements
- Review and approve deliverables within agreed-upon timeframes
- Respect the creative process and professional expertise of our team
4. Payment Terms
Payment terms are specified in individual project contracts. Generally:
- A deposit may be required before work begins
- Payment milestones are established based on project scope
- Final payment is due upon project completion or delivery
- Late payments may incur additional fees and interest charges
- All fees are in U.S. Dollars unless otherwise specified
- Payment methods include wire transfer, credit card, or check
5. Intellectual Property Rights
Unless otherwise agreed in writing:
- Clients retain ownership of materials provided to Readyant Studios
- Upon full payment, clients receive agreed-upon usage rights to final deliverables
- Readyant Studios retains the right to showcase completed work in portfolios and promotional materials unless specifically restricted by client agreement
- Stock footage, music, fonts, and other third-party materials are licensed according to their respective terms
- Original creative concepts and treatments remain the property of Readyant Studios until transfer is agreed upon
6. Project Changes and Revisions
Changes to project scope or additional revisions beyond those specified in the original agreement may result in additional charges. Significant changes may require a revised timeline and budget. All change requests must be submitted in writing.
7. Cancellation and Refunds
Cancellation policies are outlined in individual project contracts. Generally:
- Deposits are non-refundable
- Cancellations must be provided in writing
- Fees for work completed prior to cancellation are non-refundable
- Refund amounts, if any, are determined based on work completed and expenses incurred
- Materials and deliverables created remain the property of Readyant Studios until full payment is received
8. Delivery and Delays
Readyant Studios strives to meet all agreed-upon deadlines. However, timelines are estimates and may be affected by factors including client feedback delays, scope changes, equipment failure, or unforeseen circumstances. We are not liable for delays caused by circumstances beyond our reasonable control, including but not limited to acts of God, technical failures, or client-caused delays.
9. Confidentiality
Readyant Studios maintains strict confidentiality of client information and project details. We do not disclose confidential information to third parties except as necessary to complete projects or as required by law. Upon request, we can execute separate Non-Disclosure Agreements (NDAs).
10. Limitation of Liability
To the maximum extent permitted by law, Readyant Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of our services. Our total liability shall not exceed the amount paid by the client for the specific services in question.
11. Warranties and Disclaimers
We provide services with professional care and skill. However, we make no warranties regarding specific outcomes or results. Services are provided "as is" except as expressly stated in project agreements. We warrant that final deliverables will be of professional quality and free from defects.
12. Third-Party Services
We may use third-party services, vendors, or contractors to complete projects. While we carefully select partners, we are not responsible for third-party actions or services beyond our control. Any third-party costs will be clearly outlined in project proposals.
13. Equipment and Facilities
Clients using our facilities or equipment agree to use them responsibly and are liable for any damage caused by misuse or negligence. Professional conduct is expected at all times during production sessions.
14. Governing Law
These Terms of Service are governed by the laws of the State of Florida, United States. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.
15. Changes to Terms
Readyant Studios reserves the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services constitutes acceptance of modified terms.
16. Severability
If any provision of these terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms of Service will otherwise remain in full force and effect.
